Steamy Windows Internet Affiliate Agreement

In order to participate in the Affiliate Program you must read and agree to the terms and conditions before completing the sign-up process.

The following Steamy Windows Internet Affiliate Agreement ("Agreement") contains the complete terms and conditions that will apply to you if you are accepted as a participant in the Steamy Windows Internet Affiliate Program ("Program"). Products that are entitled to earn referral fees under the rules set forth above are hereinafter referred to as "Qualifying Products".

Steamy Windows may reject your application, in its sole discretion, for any reason, including but not limited to a determination that your web site is not suitable for its Program for any reason, including, but not limited to, inclusion of content that is in any way unlawful, harmful, threatening, defamatory, violent, obscene, harassing, or racially, ethically, or otherwise objectionable.

Responsibilities of Steamy Windows

Steamy Windows will supply all information and content necessary to allow you to display the links on your web site.

Steamy Windows will be solely responsible for all aspects of processing orders and fulfillment of orders placed on the Steamy Windows site by a customer following a Link from your web site, including, but not limited to order entry, payment processing, shipping, cancellations, returns and related customer services. Steamy Windows reserves the right, in its sole discretion, to reject orders. We will not be liable for paying referral fees on purchases that are not correctly tracked and reported because the links between your site and our site are not properly formatted.

Steamy Windows will be solely responsible for tracking the volume and amount of sales placed on the Steamy Windows site that are generated by your web site, and for providing information to you regarding sales statistics.

Steamy Windows may at its sole discretion, monitor your web site at any time to determine if you are in compliance with the terms and conditions of this Agreement.

Responsibilities of Participants in the Program

You will cooperate fully with Steamy Windows in order to establish and maintain any Links placed on your web site. In order to permit accurate tracking and reporting, you will be solely responsible for ensuring that Links from your web site to the Steamy Windows site are properly formatted.

Payments

Fees will be fifteen percent (15%), twenty percent (20%) or twenty five percent (25%) of net sales as detailed in the commission table. "Net sales" means the total amount actually paid to Steamy Windows for qualifying purchases excluding shipping and VAT. Payments will be mailed on the 1st Thursday in the Month if you have earned £15 or more you will be paid, if not the commission is carried over until the next month.

Obligations regarding the running of your Web Site

You are solely responsible for the development, operation, and maintenance of your web site and for all materials that appear on your web site. Such responsibilities include, but are not limited to, the technical operation of your web site and all related equipment; the accuracy and propriety of materials posted on your web site, ensuring that materials posted on your web site do not violate or infringe upon the rights of any third party and are not libelous or otherwise illegal.

Steamy Windows disclaims all liability for all such matters.

Own Use

The 'Program' is intended for commercial use only and you may not purchase Products through the 'Program' for your own use. In addition to any other rights we may have, such purchases may result (at our sole discretion) in (a) the withholding of referral fees and/or (b) the termination of this Agreement. You acknowledge that these remedies, while not exclusive, are a reasonable assessment of the damage we will suffer as a result of a breach of this clause by you.

Termination of agreement

The term of this Agreement will begin upon acceptance of your application by steamy Widows and will end immediately when terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination.

If Steamy Windows terminates this Agreement or notifies you of a breach by you, you shall be required to remove all Links, and any other information regarding Steamy Windows or its affiliated entities, within forty eight (48) hours of your receipt of notice. Steamy Windows may take all actions necessary to disable your participation in the Program.

You are only eligible to earn fees on sales incurred during the term of this Agreement, and fees earned through the date of termination will remain payable only if the related orders are not cancelled or returned. Steamy Windows may withhold your final payment for a reasonable time to ensure that the correct amount is paid.

Relationship of Parties

For purposes of this Agreement, "Internet Affiliate" does not mean a subsidiary, parent or sibling corporation of Steamy Windows. The parties to this Agreement are independent contractors and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties nor shall it grant either party any authority to assume or to create any obligations on behalf of or in the name of the other.

Steamy Windows shall not be liable or responsible for the acts, omissions or liabilities of you. In no event will you take actions that would expressly or impliedly create the impression that you are an employee or agent of Steamy Windows or its affiliated entities.

You will have no authority to make or accept any offers or representations on behalf of Steamy Windows. You will not make any statement, whether on your web site or otherwise, that reasonably would contradict anything in this Section.
